This End User Licence Agreement (“EULA”) is a legal agreement between you
(“you”, “Licensee”) and Happy Lab (哈皮实验室(中国), “we”, “us”)
governing the software, licence keys and related documentation you obtain from us
(the “Software”).
By installing, activating, copying or using the Software, you agree to this EULA.
If you do not agree, do not install or use the Software.
1. Licence grant
Subject to your payment of the applicable fees and your compliance with this
EULA, we grant you a non-exclusive, non-transferable, revocable licence to
install and use the Software for your internal business or personal purposes,
for the number of devices, users or installations stated in your order.
Unless your order says otherwise, a licence is granted per device (identified
by a machine identifier) and, where applicable, is bound to that device on activation.
2. Restrictions
You may not:
- Copy, sell, rent, lease, sublicense, distribute or otherwise transfer the Software or licence keys
- Reverse engineer, decompile or disassemble the Software, except to the extent permitted by law
- Modify, adapt, translate or create derivative works based on the Software
- Remove, alter or obscure any copyright, trademark or licence notices
- Use the Software to provide a competing commercial service, or on behalf of third parties, without our written permission
- Circumvent, disable or interfere with licence enforcement, activation or binding mechanisms
3. Activation and licence keys
- A licence key may be bound to a specific device or account on activation.
- You are responsible for keeping your licence key confidential.
- Requests to move a licence to a replacement device, or to reset a binding,
may be granted at our discretion (for example, after a hardware failure), and
may be subject to a reasonable limit on the number of resets. - We may use technical measures to verify that your use complies with this EULA.
4. Updates and support
- The Software may include updates, upgrades and patches at our discretion.
- Support, maintenance and update entitlement (if any) are described in your order
or a separate support agreement. - We may discontinue the Software or specific features after providing reasonable notice.
5. Trial / evaluation versions
Evaluation or trial versions are provided for a limited period and may contain
limited functionality. They are provided “as is”, without warranty, and are
governed by this EULA.
6. Ownership
The Software is licensed, not sold. All intellectual property rights in the
Software and documentation remain with Happy Lab and its licensors. This EULA
grants you a limited licence only, and no ownership rights.
7. Third-party and open-source components
The Software may include third-party and open-source components, each governed by
its own licence. Where an open-source licence grants you rights that conflict
with this EULA, that licence prevails for the relevant component. A list of
components and licences is available on request.
8. Warranty disclaimer
To the maximum extent permitted by law, the Software is provided “as is” and
“as available”, without warranties of any kind, express or implied, including
merchantability, fitness for a particular purpose, accuracy and non-infringement.
We do not warrant that the Software will be error-free or uninterrupted.
The Software is a decision-support tool. You remain solely responsible for
the operational, quality, safety and regulatory decisions you make using it.
9. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability under this
EULA will not exceed the amount you paid for the Software in the twelve (12)
months preceding the claim. We are not liable for indirect, incidental, special
or consequential damages, or for lost profits, revenue, data or goodwill.
10. Termination
This EULA is effective until terminated. It terminates automatically if you
breach it. On termination you must stop using the Software and delete or destroy
all copies. Sections that by their nature should survive (ownership, disclaimers,
limitation of liability) will survive.
11. Governing law
This EULA is governed by the laws of the People’s Republic of China. The
courts of Nanjing, Jiangsu, China have jurisdiction, unless mandatory local law
provides otherwise.
