These Terms of Service (“Terms”) govern your access to and use of the website
https://global.happylab.me (the “Site”) and the software, tools and services
offered by Happy Lab (the “Services”).
By accessing the Site or using the Services, you agree to these Terms. If you do
not agree, please do not use the Site or the Services.

1. Who may use the Services
You must be at least 16 years old and legally able to enter into a binding
contract. If you use the Services on behalf of a company or other organisation,
you represent that you have authority to bind that organisation to these Terms.
2. Accounts
Some features may require an account (for example, signing in with Google). You
agree to provide accurate information, keep your credentials secure, and accept
responsibility for all activity under your account. Notify us promptly at
hello@happylab.me if you suspect unauthorised use.
3. Licences and orders
Software, licences and paid services are subject to the applicable
Licence Agreement and the Refund Policy.
Prices, features and availability may change without notice. We reserve the right
to refuse or cancel any order where we suspect fraud, error or a breach of these Terms.
4. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law or regulation
- Reverse engineer, decompile or disassemble our software except as permitted by law
- Copy, resell, sublicense or redistribute the Services without our written permission
- Interfere with, disrupt or attempt to gain unauthorised access to the Services or related systems
- Upload malicious code, or use the Services to transmit spam or unlawful content
- Remove or obscure any proprietary notices, watermarks or licence markings
5. Our demo tools and free tools
Some tools on the Site are provided free of charge for evaluation and
demonstration purposes “as is”, without warranties and without any service
level commitment. We may modify, suspend or discontinue any free tool at any time.
6. Intellectual property
The Site, the Services, and all related software, documentation, designs, trade
marks and content are owned by Happy Lab or its licensors and are protected by
intellectual property laws. Except for the limited rights expressly granted to
you, no rights are transferred.
You retain ownership of any data and content you submit. You grant us a limited
licence to process that content solely to provide the Services to you.
7. Third-party services
The Services may integrate with or link to third-party services (for example
Google for sign-in and PayPal for payments). Your use of those services is
governed by their own terms and privacy policies. We are not responsible for
third-party services.
8. Fees and payment
Paid Services are billed in the currency shown at checkout (generally US
Dollars, USD). Payment is processed by PayPal. You are responsible for any
taxes applicable to your purchase, other than taxes on our income. Unless stated
otherwise, fees are non-refundable except as described in the Refund Policy.
9. Disclaimer of warranties
The Services are provided “as is” and “as available”. To the maximum
extent permitted by law, we disclaim all warranties, express or implied,
including merchantability, fitness for a particular purpose and
non-infringement. We do not warrant that the Services will be uninterrupted,
error-free, or that results will meet your requirements.
Important: our vision, OCR and inspection tools are decision-support tools.
You remain responsible for the final quality decisions on your production line
and for complying with any industry, safety or regulatory standards that apply to you.
10. Limitation of liability
To the maximum extent permitted by law, Happy Lab will not be liable for any
indirect, incidental, special, consequential or punitive damages, or for any loss
of profits, revenue, data or goodwill. Our total aggregate liability arising out
of or relating to the Services will not exceed the amount you paid us for the
relevant Service in the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability that cannot be excluded under
applicable law.
11. Indemnity
You agree to indemnify and hold harmless Happy Lab against any claims, damages,
liabilities and expenses arising from your misuse of the Services or your breach
of these Terms.
12. Termination
We may suspend or terminate your access to the Services if you breach these
Terms. You may stop using the Services at any time. Sections that by their nature
should survive termination (including intellectual property, disclaimers,
limitation of liability and indemnity) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the People’s Republic of China,
without regard to conflict-of-law rules. The courts of Nanjing, Jiangsu, China
will have jurisdiction, unless mandatory consumer-protection law in your country
of residence provides otherwise. Before starting formal proceedings, we encourage
you to contact us so we can try to resolve the matter informally.
14. Changes to these Terms
We may update these Terms from time to time. The “Effective date” above will be
revised when we do. Continued use of the Services after changes take effect means
you accept the updated Terms.
